Terms of Use — Responsible AI Solutions

1. Introduction and acceptance

These Terms of Use (“Terms”) govern your access to and use of the website at responsible-ai-solutions.com and any related online services provided by Responsible AI Solutions Sdn Bhd (“Responsible AI Solutions”, “we”, “us”, “our”) (together, the “Website”). By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, you must not use the Website.

These Terms do not govern any services or engagements we provide to clients, which are the subject of a separate written agreement.

2. Eligibility

The Website is intended for enterprise, business, and professional users. By using the Website, you represent that:

You are at least 18 years of age and legally capable of entering into binding agreements
If you are accessing the Website on behalf of an organisation, you have authority to bind that organisation to these Terms
Your use of the Website complies with all applicable laws

“Responsible AI Solutions” and associated logos, taglines, and names are trademarks of Responsible AI Solutions Sdn Bhd. The methodologies, frameworks, and approaches described on the Website are proprietary and protected by intellectual property and confidentiality rights.

Nothing on the Website grants any licence or right to use our intellectual property except as expressly stated in these Terms.

6. Submissions and feedback

When you submit an enquiry or other information through the Website (a “Submission”), you represent that it is accurate, that you have the right to provide it, and that it does not infringe any third-party right or applicable law. Personal data within Submissions is handled in accordance with our Privacy Policy.

If you provide any feedback, suggestion, or idea concerning Responsible AI Solutions or its services (“Feedback”), you grant us a non-exclusive, perpetual, irrevocable, royalty-free, worldwide licence to use, modify, and incorporate the Feedback for any purpose, without attribution or compensation. You waive any moral rights in the Feedback to the extent permitted by law.

Our total aggregate liability arising out of or in connection with these Terms or your use of the Website shall not exceed a nominal sum permitted under applicable law.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that mandatory consumer protection law prevents being excluded or limited.

9. Indemnity

You agree to indemnify, defend, and hold harmless Responsible AI Solutions and its directors, officers, employees, and agents from and against any claims, damages, losses, costs (including reasonable legal fees), and liabilities arising from or in connection with your breach of these Terms, your violation of any law or any third-party right, your Submissions or Feedback, or any unauthorised or unlawful use of the Website by you.

10. Third-party content and links

The Website may contain links to third-party websites, content, or resources. We do not endorse, control, or assume responsibility for any third-party content or services. Your use of any third-party content is at your own risk and subject to that third party’s terms.

11. Confidentiality of pre-engagement discussions

Information exchanged during enquiries, scoping discussions, technical conversations, or other pre-engagement contact may be confidential. Both parties agree to handle such information in accordance with any executed non-disclosure agreement or, in the absence of one, with the standard of care a reasonable professional would apply to commercially sensitive information.

12. Suspension and termination

We may, at our sole discretion and without notice, suspend or terminate your access to the Website at any time, including where we believe you have breached these Terms or where we discontinue the Website. Provisions that by their nature should survive termination shall survive, including those relating to intellectual property, submissions, disclaimers, limitation of liability, indemnity, and governing law.

14. Governing law and dispute resolution

These Terms are governed by and construed in accordance with the laws of Malaysia, without regard to its conflict-of-laws principles.

Any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Asian International Arbitration Centre (“AIAC”) in accordance with its arbitration rules in force at the time the proceedings are commenced. The seat of arbitration shall be Kuala Lumpur, the tribunal shall consist of one arbitrator, and the language of the arbitration shall be English. Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights or confidential information.

15. General

Entire agreement: these Terms, together with the Privacy Policy and any documents expressly incorporated by reference, constitute the entire agreement between you and Responsible AI Solutions regarding the Website
Severability: if any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect
No waiver: failure to enforce any provision shall not constitute a waiver of that provision
Assignment: you may not assign or transfer your rights under these Terms without our prior written consent, and we may assign our rights freely
Independent parties: nothing in these Terms creates a partnership, joint venture, agency, or employment relationship
Force majeure: we are not liable for any failure or delay in performance due to circumstances beyond our reasonable control
